Sunset Park Neighborhood Association Charter

Article I. Name
The name of the Association shall be Sunset Park Neighborhood Association, Inc.
Article II. Life of the Association.
The life of the Association shall be perpetual.
Article III. Purposes
The purposes for which the Association is organized are:
A. To preserve the residential character of Historic Sunset Park and neighboring subdivisions.
B. To form an overall plan of improvement for Historic Sunset Park and neighboring subdivisions.
C. To initiate and carry out a program of community projects based on this plan.
D. To provide residents of Historic Sunset Park with an effective way to channel their needs and wishes to the proper authorities.
E. To provide residents of Historic Sunset Park opportunities to engage in social activity within the community.
F. To provide an open forum for constructive recommendations and complaints and to provide the individual member a voice in common community service.
G. To present a unified effort dedicated to resolve community problems and engage in other such activities as may be to the mutual benefit of the members of the Association.
Article IV: Membership
The Association is incorporated as a membership organization. Membership shall consist of two classes, Voting and Non-Voting.
A. Voting membership: Voting membership shall be extended to any individual or family unit residing within the parameters of the Historic Sunset Park area, and whose payment of assessed dues is current, and who subscribe to the objectives of this organization.
B. Non-Voting membership: Non-Voting membership shall be extended to any individual or family unit residing outside of the parameters of the Historic Sunset Park area, and whose payment of assessed dues is current, and who subscribe to the objectives of this organization.
C. Dues are set by the Board of Directors and assessed periodically as prescribed in By-Laws.
Article V: Boundaries:
The boundaries of Historic Sunset Park are: Carolina Beach Road to Burnett Blvd., Sunset Ave. to Southern Blvd (North side only).
Article VI: Officers
Officers of the Association shall be a President, Vice President, Secretary and Treasurer. Duties of the officers are prescribed in the By-Laws of the Association. Only residents of Historic Sunset Park in good standing, who are active voting members, may hold and office in the Association.
Article VII: Board of Directors
The affairs of the Association are to be managed by a Board of Directors. The Board of Directors shall consist of elected officers (President, Vice President, Secretary and Treasurer), and chairmen of active committees. Only residents of Historic Sunset Park in good standing, who are active voting members may serve as an officer or chair a committee.
Article VIII: Dissolution of the Association

Dissolution shall occur upon the two-thirds vote of remaining members. Any funds shall first be applied against indebtedness. If any funds remain after resolution of indebtedness, these funds shall first be applied toward reimbursement of members of current membership dues. Any remaining funds will be donated to another non-profit Neighborhood Association or non-profit umbrella organization with goals and objectives in keeping with the original concept of this organization.
The boundaries of Historic Sunset Park are prescribed in the By-Laws of this Association. The Association may encompass neighboring subdivisions under the umbrella alias of Greater Sunset Park Neighborhood Association.
Voting Membership: Voting membership status shall be extended to any individual or family unit residing within the parameters of the Historic Sunset Park area, and whose payment of assessed dues is current, and who subscribe to the objectives of this organization.

Article I. Meetings
The general membership of the Association will meet
periodically, at least four times per year. Additional meetings may be called by the Board of Directors. Three or
more members may petition the Board of Directors for a special meeting.

Article II. Membership and Dues

Directors, and must be approved by the voting membership. Details will be outlined in Operating
Procedure Manual and maintained by Secretary.
Article III. Elected Officers and Their Duties
elected officers of the organization shall be President, Vice-President,
Secretary and Treasurer. All officers shall be voting members in good standing.
1. President: The President shall
preside at all meetings of the Board of Directors and of the Association. The President shall further the purposes of the Association,
represent the Association at public forums, prepare the agenda for meetings,
and report to the membership on all action and agreements stemming from Board
of Director business.

appoint committee chairs as necessary, pending Board of Directors approval.
Section 2. Vice-President: The Vice-President shall perform the duties of the President in his

3. Secretary: The Secretary shall keep a record of all
meetings of the Association and Board of Directors and perform other
secretarial duties as may be necessary, The Secretary is the official custodian of the minutes and official
correspondence of the organization and the Operating Procedure Manual, and
shall maintain these records in a professional manner. This includes copies of financial report as
presented by Treasurer at each meeting.
Section 4. Treasurer: The Treasurer shall receive and hold in custody in a suitable banking
institution, all funds of the Association, pay regularly occurring bills of the
Association, and keep an account of all receipts and
expenditures. All other expenditures
must be approved by the Board of Directors. The Treasurer will report the financial condition of the Association at
regular meetings, at Board of Director meetings, and at special meetings when
requested. The Treasurer will provide a
written financial report at each meeting, which shall become a part of the
records maintained by the Secretary.
5. The Board of Directors shall
approve bills for payment, appoint the nominating committee, set dates for
meetings, and carry out the business of the Association.
Article IV. Terms
The term of office for all officers and committee
members shall be for two years, concurrent with the Association calendar. Such officers and committee members may be
elected or appointed for additional terms. The election of officers shall be held at an annual meeting. The President, with the approval of the Board
of Directors, shall fill all unexpired terms.
Article V. Committees and Their Duties
Chairmen and Committee Members are appointed by the President in consultation
with the Board of Directors.
Committee chairmen shall submit reports to the President prior to bringing such
reports to the Association for consideration, endorsement, approval or action.

Section 1. Nominating Committee: The Nominating Committee is an ad hoc committee and shall provide a
slate of officers for the Association to be presented at the annual
meeting. Any member nominated shall have
indicated a willingness to serve in that capacity; this includes nominations
from the floor. (Appointed bi-annually
and serves until elections are completed.)
2. Planning and Zoning
Committee: The Planning and Zoning
Committee, with the assistance of the Board of Directors, shall keep posted on
existing and proposed legislation
relating to state and local affairs involving the neighborhood. (Appointed as needed by President with
approval of Board of Directors, serves as needed.)
3. Membership Committee: The Membership Committee shall develop and
implement a program which will encourage membership in the Association and
maintain current membership list.
Section 4. Social Committee: The Social Committee shall facilitate
all social events of the year, including
planning and arrangements. They will
also provide refreshments at Association meetings.
5. Outreach Committee: The Outreach Committee shall seek out new
residents, invite them to meetings, and encourage them to attain membership.
6. Neighborhood Watch: Sunset Park’s Neighborhood Watch program will
monitor the neighbor-hood and liaison with various law enforcement
agencies. It will also report at Association meetings on the activities of the

Article VI. Boundaries

1. Sunset Park Neighborhood
Association boundaries may include additional sub-divisions, without voting
privileges, as approved by the voting membership of the core area, to include
Woodlawn, and others as described to be abutting or adjacent to the core Sunset
Park area, or geographically located as to be a reasonable fit. This shall be referred to as the Greater
Sunset Park Neighborhood.
Article VII. Parliamentary Authority.
Rules of Order shall be the parliamentary authority on all matters not otherwise
covered by the By-Laws of the Association.
